DEFINITIONS

1. "Tenbyte AI" or "the Product": The AI-powered system developed and offered by the Company that provides document review, SOP generation, and Certificate of Analysis (COA) examination capabilities
2. "Noxie Innovation" or "the Company": Noxie Innovation (OPC) Private Limited, a company incorporated under the laws of India
3. "System": The Tenbyte AI system and associated services
4. "User": Any individual or entity accessing or using the System
5. "Draft Corrections": Suggestions or recommendations generated by the Tenbyte AI system after identifying potential discrepancies between a master document and regulatory requirement(s), which require thorough review, validation, and interpretation by qualified personnel prior to implementation
6. "Usage Policy": The complementary Tenbyte AI System Usage Policy that governs operational use of the System
7. "Zero-Retention Policy": The Company's practice of automatically deleting all documents after processing is complete, maintaining no stored copies of processed documents or personal information
8. "SOP Generation": The automated process of creating Standard Operating Procedures from instrument manuals, equipment documentation, and related compliance standards
9. "Certificate of Analysis" or "COA": The document that certifies the testing results of a product batch, typically including specifications, test results, and compliance information
10. "Proprietary Components": The Company's intellectual property including but not limited to specialised algorithms, prompt engineering techniques, custom workflows, system architecture, and interface design that enhance the capabilities of third-party LLM technology within the Tenbyte AI system

1. INTRODUCTION AND SCOPE
1.1 This Legal Policy ("Policy") governs the use of Tenbyte AI's System ("System"). This Policy supplements the Usage Policy and provides additional legal requirements and protections for all parties involved.
1.2 Relationship with Usage Policy: This Legal Policy works in conjunction with the Tenbyte AI System Usage Policy. While the Usage Policy focuses on operational guidelines and user responsibilities, this Legal Policy addresses legal rights, obligations, and protections. In case of conflict between the two policies, this Legal Policy shall prevail for legal matters.
1.3 System Capabilities: The Tenbyte AI system offers three primary capabilities: (1) document review for potential compliance matters, (2) draft Standard Operating Procedure (SOP) generation based on instrument/equipment manuals, and (3) Certificate of Analysis (COA) examination using AI vision capabilities. All provisions of this Legal Policy apply to all three capabilities unless explicitly stated otherwise.
1.4 Acceptance of Terms: By accessing or using the System, Users acknowledge reading, understanding, and agreeing to be bound by all terms and conditions of both this Legal Policy and the Usage Policy.

2. LEGAL COMPLIANCE AND REGULATORY FRAMEWORK

2.1 Data Protection and Privacy:
(a) The System operates in compliance with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other relevant privacy regulations.
(b) Users acknowledge their responsibility to ensure submitted documents comply with these regulations.
(c) In accordance with our Zero-Retention Policy, all documents are automatically deleted after processing is complete. We maintain no stored copies of processed documents or personal information.

2.2 Data Subject Rights:
(a) Data subjects retain all rights provided under applicable privacy laws.
(b) The System facilitates the exercise of these rights through documented procedures for access, rectification, erasure, and data portability requests.

2.3 Export Control Compliance:
(a) Users shall comply with all applicable export control laws and regulations when using the System.
(b) Documents containing export-controlled information must be clearly identified and processed according to relevant export control requirements.

3. LIABILITY AND INDEMNIFICATION

3.1 Limitation of Liability:
(a) Tenbyte AI's liability shall be limited to the maximum extent permitted by law. The Company shall not be liable for:
(i) Any indirect, incidental, special, consequential, or punitive damages
(ii) Any loss arising from User's decisions based on System recommendations, including but not limited to Draft Corrections, generated SOPs, or COA analyses
(iii) Any damages exceeding the fees paid by User in the twelve months preceding the claim
(b) To the maximum extent permitted by applicable law, in no event shall the company, its affiliates, directors, employees, or licensors be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from: (i) the use or inability to use the system; (ii) unauthorised access to or alteration of your transmissions or data; (iii) any other matter relating to the system; or (iv) any reliance placed by you on the completeness, accuracy or existence of any system output, including but not limited to compliance reports, draft corrections, SOPs, or COA analyses.
(c) Users assume full responsibility and liability for all interpretations, implementations, actions taken, and resulting outcomes arising from or related to the use of the system and its outputs.

3.2 User Indemnification:
Users agree to indemnify, defend, and hold harmless Tenbyte AI against any claims, damages, or expenses arising from:
(a) User's violation of this Policy or the Usage Policy
(b) User's use of the System
(c) User's submitted documents
(d) Any third-party claims resulting from User's actions

4. SERVICE WARRANTIES AND DISCLAIMERS

4.1 Service Warranty Disclaimers:
The System is provided "as is" and "as available." Tenbyte AI disclaims all warranties, express or implied, including:
(a) Merchantability
(b) Fitness for a particular purpose
(c) Non-infringement
(d) Error-free or uninterrupted operation

4.2 System Outputs Disclaimer:
(a) Users acknowledge that System outputs, including but not limited to AI-generated recommendations, Draft Corrections, generated SOPs, and COA analyses, are produced through proprietary methods and require human verification.
(b) Tenbyte AI does not warrant the accuracy, completeness, or appropriateness of any System outputs for specific use cases.
(c) All System outputs are provided solely as informational guidance to assist users in addressing potential compliance matters. These outputs:
(i) are provided on an "as-is" basis without warranty of any kind;
(ii) require thorough review, validation, and interpretation by qualified personnel prior to implementation;
(iii) do not constitute legal, regulatory, or compliance advice;
(iv) are not automatically applied to any documents; and
(v) may require significant modification based on the user's specific organisational requirements, applicable regulations, and context.
(d) The System's AI capabilities are dependent on various technologies and may vary based on changes to underlying components or other factors beyond Tenbyte AI's control.
(e) Users acknowledge that AI technology is evolving, and the quality, consistency, and availability of AI-generated content may fluctuate.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership:
(a) Tenbyte AI retains all intellectual property rights in the System, including all Proprietary Components, such as specialised algorithms, prompt engineering techniques, custom workflows, system architecture, and interface design that enhance the capabilities of third-party LLM technology.
(b) Users retain all rights in their submitted documents.
(c) The intellectual property in the System includes trade secrets and confidential information that constitute Tenbyte AI's competitive advantage in the marketplace.

5.2 License Grant:
Users grant Tenbyte AI a limited, non-exclusive license to process submitted documents solely for providing the Service.

6. SERVICE LEVEL EXPECTATIONS

6.1 System Availability:
(a) Tenbyte AI will make commercially reasonable efforts to ensure System availability.
(b) Users acknowledge that the System relies on third-party services and that availability may be affected by factors beyond Tenbyte AI's control.
(c) Tenbyte AI does not guarantee uninterrupted access to the System and shall not be liable for any downtime resulting from third-party service interruptions, scheduled maintenance, or technical difficulties.

6.2 Support Response Time:
(a) Tenbyte AI will make reasonable efforts to respond to support inquiries based on the following targets:
(i) Critical issues: within 48 business hours
(ii) High-priority issues: within 72 business hours
(iii) Standard issues: within 5 business days
(b) These response times are goals rather than guarantees and may vary based on support volume, complexity of the issue, and available resources.
(c) Business hours are defined as 9:00 AM to 5:00 PM IST, Monday through Friday, excluding recognized holidays in India.

7. BREACH AND SECURITY INCIDENTS

7.1 Data Breach Notification:
(a) Tenbyte AI shall make reasonable efforts to notify Users of confirmed data breaches directly affecting their documents within 72 business hours of verification.
(b) Users acknowledge that due to the Zero-Retention Policy, the impact of any potential data breach is inherently limited as documents are not stored beyond the processing period.

Security Incident Response:
(a) Users must report suspected security incidents immediately to support@tenbyteai.com.
(b) Tenbyte AI will investigate and respond to all reported incidents within established timeframes.

7.3 Security Protocols:
(a) All documents are processed with end-to-end encryption in an isolated, secure environment.
(b) Following our Zero-Retention Policy, documents are automatically deleted after processing is complete.
(c) Regular security audits are conducted to maintain system integrity and data protection standards.

8. SYSTEM MONITORING

8.1 System Monitoring:
(a) Tenbyte AI maintains the right to monitor System usage patterns for compliance, security, and performance optimisation purposes.
(b) Given resource limitations, such monitoring may be automated or conducted on a sampling basis.

8.2 Compliance Documentation:
(a) Users shall maintain their own records demonstrating compliance with this Policy.
(b) Tenbyte AI may request information regarding compliance on a case-by-case basis if there is reasonable suspicion of Policy violation.

9. DISPUTE RESOLUTION

9.1 Informal Resolution:
Parties shall attempt to resolve disputes informally through good-faith negotiations.

9.2 Mediation and Arbitration:
Unresolved disputes shall be submitted to mediation before proceeding to binding arbitration under the rules of the American Arbitration Association.

10. FORCE MAJEURE AND SERVICE LIMITATIONS

10.1 Force Majeure:
Neither party shall be liable for failures or delays resulting from circumstances beyond their reasonable control, including:
(a) Natural disasters
(b) Government actions
(c) Civil unrest
(d) Network or power failures
(e) Pandemic or epidemic events
(f) External technological disruptions

10.2 Service Limitations:
(a) Users acknowledge that Tenbyte AI may experience operational constraints that could affect service delivery.
(b) Service limitations may include:
(i) Temporary unavailability due to system updates or maintenance
(ii) Processing delays during periods of high demand
(iii) Changes in functionality due to technical updates
(iv) Resource allocation decisions based on business priorities
(c) Tenbyte AI will make reasonable efforts to minimise the impact of such limitations but shall not be liable for any resulting inconvenience, delay, or loss.

11. GOVERNING LAW AND JURISDICTION

11.1 Choice of Law:
This Policy shall be governed by and construed in accordance with the laws of India.

11.2 Jurisdiction:
Any legal action arising under this Policy shall be brought exclusively in the courts of Ahmedabad, Gujarat, India.

12. POLICY MODIFICATIONS

12.1 Amendment Rights:
Tenbyte AI reserves the right to modify this Policy at any time. Users will be notified of material changes 30 days in advance.

12.2 Acceptance of Changes:
Continued use of the System following Policy modifications constitutes acceptance of the changes.

13. POLICY MODIFICATIONS

13.1 Termination Rights:
(a) Tenbyte AI may terminate this agreement immediately and without prior notice if User violates any material term of this Policy or the Usage Policy.
(b) Tenbyte AI may suspend or terminate service at its sole discretion with 7 days'notice for operational, technical, or business reasons.
(c) User may terminate this agreement at any time by discontinuing use of the System and providing written notice to Tenbyte AI.

13.2 Effect of Termination:
Upon termination:
(a) User access shall cease immediately
(b) Outstanding payments become due
(c) Confidentiality obligations survive
(d) Users must destroy all copies of System documentation
(e) Tenbyte AI may disable User accounts and delete any User data in accordance with the Zero-Retention Policy

14. SEVERABILITY
If any provision of this Policy is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. ENTIRE AGREEMENT
This Policy, together with the Usage Policy and any referenced documents, constitutes the entire agreement between the parties regarding the subject matter herein.
